The Migrate module was completely reimplemented for V2 - you cannot simply upgrade your code, run update.php, and expect to see the content sets you defined in V1 now manifested as V2 migrations. It is recommended that in any Drupal environment where you are currently using Migrate V1, that you stick with V1 and do not attempt to upgrade. We do, however, feel the V2 architecture is far more flexible, and if you start any new migration projects you should start with Migrate V2.

There has not been any demand (at least in the Migrate module issue queue) for help in moving from Migrate V1 to Migrate V2, so no documentation on upgrading has been produced.
