Why did you post this in the Flag issue queue?

If you're running out of memory, disabling any module may be enough to free up enough space to allow you to work. You either need to run fewer modules or increase your memory allocation to PHP on your server.

It happens only when flag module is installed

My guess is that disabling any module (or enough of them) would result in the problem being solved also, but it's possible that something Flag is doing is consuming a large amount of memory. Could your post the exact message you get from your server? Is it somewhere in Flag module?
