I want to remove logo and primary menu from the overlay. So, basically i want to change the format of overlay according to my need. I track back and found there is overlay.tpl.php in "overlay" module, but it just pring $content_attrubes and i dont know from where it is coming. I really appreciate if anyone can help me soonest.

Noticed the same issue. When using the Core Overlay module, the following elements are loaded every time into the admin overlay:
- Main menu
- Rotating banners
- Logo
- Website title

These should not be loaded.
