I have a Drupal 4.7.3 site on site5 and they announced upgrade to Apache 2.2 & PHP5 coming in. I am wondering if I need to do anything.

You might have to make modifications to the .htaccess file first and try to find a fix. You'll be better off taking a complete site + db backup first.

You just need to update to 4.7.8. First to fix all the security issues, second to get Drupal working with PHP 5.2.x (see http://drupal.org/requirements).
