Comment_upload is not compatible with 6.2, so your 6.x version does not install. I scrapped the 5.x version I was trying to setup a while back and am trying with 6.2 right now. My concern is that I am likely going to have to remove that installation, convert vBulletin to Drupal 5.x, then upgrade to Drupal 6.2. This would be a major hassle, since I have to run this all on a development site, get the site setup and designed and then make it live. This would mean the site would be shut down for at least a few days, if not a week or more, while I repeat the whole process after getting it right on the development site.

Yes, the six release is in alpha and there is a note on the project page about it not being useful until comment_upload is migrated. I should probably make that note more prominent, or explain better.
You could edit out the dependency from the vbtodrupal.info file. However, vbtodrupal has not been thoroughly tested on six and vbpassword is completely untested (hence the alpha status). I wouldn't advise this, unless you have a lot of time for debugging potential problems. :)
Your best bet is to migrate vbulletin to Drupal five, as you said. :(
