I had this problem when I uploaded all of my site files using an FTP account set up for my domain. Then I set up a root FTP login so I could access all of the domains on my dedicated virtual server. I then uploaded some modules under root FTP account, and they would not show up in the module list in Drupal admin. I noticed that the owner and group for these module folders were "root" while the other files I had uploded with the original FTP account had differnt owner and groups. Lesson: upload all of your files with the same FTP credentials.

vm commentedthe .info file is in the download and is populated. Insure you've uploaded the .info file with the theme.
If all is well be sure to clear your cache in administer -> performace
