You might want to more completely state your need. html/css can server as the base for a theme, doing that is one thing or are you simply looking to theme pages produced by ubercart or do you need both a theme and ubercart set up?

Probably, the OP has a html layout and the task is to convert it to a drupal installation with ubercart module enabled, so that the views/nodes/html form elements of ubercart get themed in a particular way as well.

Well, its a drupal theme after all :)
