In the module admin page I get a message that says this module is not compatible with Drupal 6.4

It isn't compatible, and it will remain that way. The Notify module's functionality is going to be put into the Order module as a Conditional Action. The email message will then be able to change through that interface, rather than having a separate settings page for each possible message.
