I am upgrading my site from Drupal 5.12 to 6.6.
However following modules are giving the error "This version is incompatible with the 6.6 version of Drupal core"
WatchDog, Administration Menu, Legacy, Drupal, Action View.

Well, Administration Menu (and Action View) is an addon module - did you download the D6 version?
For the others (which I think are Core Drupal), its sounds like you did not completely remove all the old D5 files.

Incompatible modules with Drupal 6.6
Thanks for the quick response.
I could not find the D6 versions for either the Administration Menu or Action View modules.
Can u please help I get to get my site running by Thursday.

Ummm...
Admin Menu can be found here -> http://drupal.org/project/admin_menu
There is no D6 port of Action Views and looking at the module, I am really not sure what one would use it for. But you might also look at this post -> http://drupal.org/node/220394#comment-1089288
BTW, you probably should have looked into the Update Status - http://drupal.org/project/update_status - and Upgrade Status - http://drupal.org/project/upgrade_status - modules before you started the upgrade to D6. You would have seen that there is no D6 upgrade to Action Views.
