I have taxonomy_access working correctly, I can see the node with users that have permissions to see that node, but the private files that are attached to that node are not listing, and are not accessible.
I will try to look into the code to see if I can fix, but.............we'll see.
For what I'm doing seems like private_upload and taxonomy_access are the answer.

Never mind.

Was just a matter of turning on some permissions at view uploaded files.

Great commenting in the code, after reading it, I was able to figure out what
I was doing wrong.
