I need to upgrade one of my sites from 5.x to 6.x while keeping the same functionality.
I also need a new theme for the site once it is upgraded to 6.x

Let nobody delude you that this will be completely trouble free though. It all depends on whatever functionalities you presently have and whether there are similar modules in Drupal 6 that support these.
