restricted access to nodes created by a user

I have a special requirement, and I'm still researching if one or more modules exist, which could do the trick. In the meantime, it would be great to have your help with this need.

In the site that I'm building, a content type will be used by several users of the same role to create nodes. These are 'commentable' by certain other roles only. After a few posts, I want to allow the first user (who creates the nodes) to allow them to be accessed only by a specific user (not role), who had commented on his nodes in the past. In a way, the first user establishes a relationship with another - a team is formed. Thereafter, only that other user will be able to see or comment on his nodes, whenever they are created, in an exclusive manner.

I'm approximately aware of what OG can do, but thought that it would be an overkill. Each group will, most likely, have only two members - an 'author' and a 'reader'

Protected node can, to some extent, take care of my need. However, I need to offer a mechanism for the author to share the password with the other user (which can be kept constant for all future posts)....Otherwise, it masks the post from the users, unless the author's password is entered. The user permission settings are good enough. Thanks, tolmi, for this module

I tried nodeaccess_userreference-6.x-2.0 and nodeaccess_password-6.x-2.1,but couldn't figure out how they work. Attaching a user reference is a good way (I's already had a user ref field for that content type) - but no clues as yet.

For Node Access User Reference It's just a tickbox in the field's settings.

Node Access Password might be a bit too wierd for this.
