Description
The mimemail.tpl.php template is not loaded from the custom theme directory. The path to the custom theme is not included in the registry while custom templates like node.tpl.php and simplenews-newsletter-body.tpl.php are loaded and their path is included in the registry. I'm running out of ideas ...

I had the same problem. I spent about 4 hrs and tried a bunch of things, so Im not sure exactly what fixed it, but here are my final settings.
Mime Mail 6.x-1.0-alpha1 is Enabled
Mime Mail CSS Compressor 6.x-1.0-alpha1 is DISABLED - I think this was the main issue, but not too sure. Once i disabled it, it seemed to grab the sites/all/modules/mimemail/mimemail.tpl.php and format the body.
Simplenews 6.x-1.x-dev Enabled
Simplenews action 6.x-1.x-dev Enabled.
I created my own format called "Newsletter format" because I didnt want my body info being changed. I changed the input format for my newsletters to use"newsletter format".
On the Mime Mail settings, I have "Use mime mail for all messages" checked, and input format as Newsletter format.
In the body of my newsletter i did NOT have or tags. I used to, but in my testing I removed them. Not sure if this was a problem or not, but currenty they are gone and everything is working. Plus, the mimemail.tpl.php file added them in anyways :)
Remember to clear your drupal cache! This was one issue I ran into. Using admin menu module makes this easy.

I am seeing the same issue with
- Mime Mail 6.x-1.x-dev
- Simplenews HEAD
Mime Mail CSS Compressor is disabled
Cache has been cleared
"Use mime mail for all messages" is not checked
Still doesn't seem to be picking up mimemail.tpl.php in the theme dir.

I'm also experiencing this problem although I'm not using Simple News. I am using a Zen sub-theme though which I think might be the root cause of the issue. I've not looked into it in any more detail yet but will try and come up with a patch later this week if I get time.
