In you use image module and its related modules as image assist, image browser to upload images then html-option for adding custom content in pane in Pane module become disabled and you are even not able to change its content.

Do you mean Panels module?
At any rate, I really don't see how image module could be responsible for that.
Are you absolutely certain image module makes the difference -- have you tried disabling the modules you mention one by one?

No, that's either FCKeditor module (very likely) or Image assist module (also likely)
