You need to look carefully at the translator's guide. You'll see there is a section on translation programs to use. Personally I use POEdit which works fine for me. You convert pot to po very simply by opening the pot file in POEdit then saving it as a po file.

I've no idea how Marathi works but you may find you have an issue with plural forms and you might find it useful to look here.

By the way, if you know anybody who is thinking of doing a Bengali translation, I would love to know!

It's not clear to me what you are trying to do. You need to start by doing "File/New catalog from pot file" - this will allow you to open the pot file and save it as a po file.
I don't know if you will have a problem with RTL (am I right in thinking that Urdu is a RTL script?). You might try looking at the Arabic translation to see how it is done.
You need to be more specific about exactly what fatal error message - some are more fatal than others! Sometimes it complains because it doesn't mile "\r" and "\n" for example, also you need to be VERY careful to escape any double-quotes or single-quotes that you might use.
Don't know if that is any help...

This error happens when running PoEDIT 1.3.6 on Windows Vista OS. Check from http://www.poedit.net/trac/ticket/149
So for those who had/have same problem please update your PoEdit to 1.4.2 version downloadable from www.poedit.net
