There is a error when panels (2 or 3) and image_assist are both enabled. When you try to add content to a panels page (a fieldgroup for me) image_assist and panels fights over the java script from what i was understanding. If you disable image_assist the panels content can be added just fine.
Hopefully a fix will happen soon. Both of these module are very awsome and needed.
