What's in a name?
First, this looks like a damn good theme.
If it stands up to modular re-use, it's probably worth the price too, and I've got no problem with commercial themes done well.
However...
As you username has no history here on Drupal.org, I'd like to ask what steps you've taken about licensing the Drupal trademark for use in your commercial business.
Given the prominent leveraging of the Drupal trademark in your branding, I'd like to believe you are willing to play by the rules, as described in the Drupal Trademark Policy
For your site promotion and branding to be kosher I'd expect to see a prominent disclaimer on your site making it clear that
and/or a badge indicating that you have joined the Drupal Association as a registered member.

Can I suggest that you get in touch with Dries or the association directly and clarify your intentions?

I am pretty sure that there was no permission issued to use Drupal(tm) in this context. In fact, I am not aware of any permissions that have been issued to anybody else but the Drupal Association. In absence of a permission, this is clearly an infringement on Dries' trademark. I've filed an issue on our internal tracker.
My own, personal advice is to give your brain cells some exercise and come up with their own name for a company instead of relying on somebody else's trademark. A permission to use it - if available at all - can be revoked after all.
Several very successful Drupal shops exist and none of them have "Drupal" in their name or domain name.

It's a very bad style, absolutely senseless, and legally useless to explain own trademark abuses with other abuses.

I like what you are doing, and I think your product looks good.
I believe your intentions are also good, so I hope you'll be able to come to a satisfactory arrangement. Putting the note in the footer as quickly as you have shows good faith, thankyou.
It can be a touchy subject, so I thought I'd let you know that there is a legal issue that your company name looks like it's infringing on. It's a cool domain name, but we don't want to annoy the community!
We'll leave it between you and Dries for now, I think. :-)

We always want to support Drupal as in what way we can, we will try our best. Though i have sent mail to Dries but i got an automatic respond mail saying that: -
"Dries often receive more than 400 Drupal related e-mails a day. While he try to read every e-mail he receive, he only able to respond to a fraction of those"
So, it will take a lot of time to contact him via the contact form available at http://buytaert.net/ and may be possible that our mail don't come to his notice, as he is a human being and reading out 400 mails daily is not possible. Is there any other way to contact him asap as we want to clear out this issue as soon as possible?

Nice Looking Theme!
It's a good looking theme and I hope you get any trademark issues ironed out and are able to support Drupal with your work.

First of all, this is an absolutely awesome theme - I'm completely envious of your team's skill.
I ran into the naming issue early on with my own site and opted to change it once it was pointed out to me. Oddly it never occurred to me at all that it would be infringement - probably for the same reason - the sheer number of drupalwhatever.com's kicking around. I'll be interested to see what the verdict is.
Disheartening
I find it a bit disheartening that "Drupal Master" (or whomever this person is) is coming off as forthright or honest sounding about the Drupal domain trademark usage considering that they would copy a large portion of our terms of services page and even other simple things like our forum thread names and other content from www.ThemeSnap.com.
For these reasons, I do not get any real sense of "doing the right thing" from this person or company. I mean, come on, write your own TOS or come up with your own naming or phrasing, etc, etc. :-\

I couldn't even see a sentence in common, until I hit the legalese boilerplate at the bottom. Almost all legalese is copy & paste!
When you wrote the phrase "Since our company is offering non-tangible irrevocable goods we do not issue refunds after the product is shipped/downloaded, which you are responsible for understanding upon purchasing" was that entirely original, or were you copying this document or this or this excellent one or even this wedding planners site? (I picked a phrase at random, I'm sure other phrases would come up with similar results)
Claiming copyright on a terms of service is feeble, and in this case the documents are more that 80% different from each other! If there is any 'copying' from any source (and it is still possible I guess) the end result is still different enough IMO. We don't need to re-invent BS like these disclaimers every time.
Comparing themesnap forums with Drupalmaster support? Really? They both contain similar, but entirely generic areas (announcements, bugfixes and installation guides) but use different words in a different order, with entirely different descriptions! Not a copy. IP appropriation is bad (unless you are actually in the Open Source business) but unfounded accusations of theft are worse.

We acknowledge there is an issue with the name, but criticizing a direct competitor that provides the same services as you do because ... they provide the same services as you do - doesn't really stand up in this case.

I/we've never visited any of those websites you noted for TOS pages. It's odd that the TOS page on Drupalmaster.com is now down though. When I go to it I get a 404 page not found. Coincidence?
Our premium account at copyscape gave way more copied text than you pointed out dman, so I'm not sure why you'd pointed out the one occurrence.

I'm not claiming copyright on the TOS. I did not say that in my claim. Claiming copyright over something and saying that someone copied part of our text/content are two entirely different things. At least that's what our attorneys have always noted. Maybe they're wrong? If I felt I could claim copyright on something I would also not start off by claiming it in a Drupal forum or any other online median.
I merely pointed out the forum similarities between the forum word choices as well. I feel anyone could see the similarities and I did say that they were the same as our own forum thread names. I didn't mention descriptions at all b/c it's not an issue. If it was I would've mentioned it. Seemingly odd that the forum names have also just been changed in Drupalmaster.com though.
And I am "chill." I have no problem with competition at all. ;-) Sorry you didn't see the similiarities. They are alsolutely NOT more than 80% different:
1) First and second sentence, the same -- "You should carefully read the following Terms and Conditions. Your purchase or use of our products or services implies that you have read and accepted these Terms and Conditions."
2) Third paragraph, second sentence -- "you must obtain our permission to distribute the images, media, and CSS files that make our themes distinctive"
3) Paragraph five, whole paragraph -- "You may use each individual product purchased on as many websites as needed as long as the usage is on a website owned and registered to you, the purchaser. Multiple client website installations are not allowed with our products."
4) Paragraph six, whole paragraph (except for the company name changed) -- "You are authorised to make any necessary modifications to our product to fit your or your client's purpose."
5) Paragraph seven, whole paragraph -- "You may not claim intellectual or exclusive ownership to any of our products, modified or unmodified. All products are property of Drupal Master. Meaning you agreee to have a discrete link to Drupal Master.com on the template/website. Our products are provided “as is” without warranty of any kind, either expressed or implied. In no event shall our juridical person be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use our products."
6) Parts of paragraph eight -- "The deadline for any refund claim is within 7 days after the delivery date"
Other parts are the same as well.

Last, from the Drupal Master owner/operator's email's IP address (we had that from a previous email) and our Visistat visitor IP and page tracking, I also saw that they/he was on our website on those specific pages of our website and the TOS and forum pages were added to their website right at the exact same time, or within an hour or two. Maybe that's another coincidence though :-\
Anyway, I don't want to go back and forth here but I do strongly feel that this information above would strike anyone as inordinately coincidental.

That stuff is pretty generic dude, I think you're getting a bit fired up over this. I dig that ripping forum naming is not righteous, but they are named things like "Drupal Theme Announcements". Again, pretty generic man.
I didn't read all your terms but that seems a bit loose to me, I could argue your themes are not in any way distinctive and in fact I can find hundreds of very similar themes all over the place. I think I would plug for "You are not allowed to [whatever] the files in these directories [list directories]...".

If I looked hard I could find hundreds of EULA's or Terms and Conditions with these same or very similar phrases, everyone copies them off each other and at the end of the day theres a positive side effect of this, everyone becomes highly familair with the boilerplate and only one glance tells them what is what.
Both of these guys are producing really nice themes, and thats what we're here to chat about, lets leave this mud raking for another day, please, its just not that important!

I agree, great themes should be the focus
I agree and see your points on the boilerplate TOS approach and people's familiarity when visiting different sites with similar services.
I truly mean no disrespect and again very much like the competition. I think great themes will make Drupal grow exponentially. The only thing that rubbed me the wrong way was the owner's IP address and path or pages visited on our site, only to post much of the same info. on their own site just afterward.
Anyway, hope they get their domain name choice worked out.

Just one of many -- the above example has 17,000 exact match search results. So, who's to say that ours was not written first? I guess your posts above proves that without doubt? After all, the info has been on the site for nearly two years. The other snippets you posted above also show thousands of duplicates.
Our attorney wrote the current one we have. Parts of it are heavily used, but I feel that the person from Drupal Master (their IP and paths/pages visited) on our website just before seeing virtually the same information on their website is the bigger issue I have. But oh well.
You have one post in Drupal since you've been a member for 34 weeks and it's this one. Errr, OK. No name, website, etc?

I think its a nice looking clean block style theme.
Rather than the dummy content I would want to see things like an HTML elements page, so I can see stuff like headings, paragraph, blockquote etc in one go - much like most WP theme sites do it.
I don't know all the features either, thats Nice menu for the main navigation - is that automagic for the end user or do they have download, install and configure nice menu to get the drop menu, what if I don't want Nice menu, does it revert to primary links if not block is in that region? Is it three column or just two column with the split right col?
Too questions to ask for me to part with my money right up front (theoretically speaking).

Very thin imo... a few dollars toward the drupal association in no way makes up for a complete lack of contributions to the project itself. I judge all drupal "service providers" exclusively in terms of their contributions to the drupal project. As far as I'm concerned, any individual or company that has no issue with profiting from the thousands upon thousands of donated manhours of effort that created the drupal project without contributing anything back has questionable business ethics.
Not to mention the nagging little issue of a non-licensed commercial use of the drupal trademark....
